1. Acceptance of terms

By accessing or using the Calyx Core website (the "site") or by engaging Calyx Core ("we", "us", "our") for any service, you ("client", "you") agree to be bound by these terms and conditions. If you do not agree, please do not use the site or our services.

2. Services

Calyx Core provides digital services including, but not limited to, performance marketing, e-commerce and website development, video marketing, digital marketing, social media management, and brand identity. The specific scope, deliverables, timelines, and fees for any engagement are defined in a separate written proposal or statement of work agreed between you and us. Where a proposal conflicts with these terms, the proposal governs for that engagement.

3. Proposals, fees & payment

• Quotes and proposals are valid for 30 days from issue unless stated otherwise.
• Fees, payment schedules, and milestones are set out in the applicable proposal.
• Unless agreed otherwise, invoices are payable within the period stated on the invoice. Late payment may pause work in progress.
• Third-party costs (ad spend, platform subscriptions, stock assets, domains, hosting) are billed separately and are your responsibility unless expressly included in scope.

4. Client responsibilities

To deliver work effectively we rely on you to provide timely access, approvals, brand assets, content, and account permissions (for example, advertising, analytics, or hosting accounts). Delays in providing these may affect timelines. You are responsible for the accuracy and lawfulness of any material you supply to us.

5. Advertising & platform results

Performance-marketing outcomes depend on factors outside our control, including platform algorithms, auction dynamics, market conditions, and your product or offer. We apply professional expertise and best practice, but we do not guarantee specific rankings, return on ad spend, lead volumes, or revenue. Any figures, case studies, or projections shown on this site are illustrative of past work and not a promise of future results.

6. Intellectual property

Upon full payment for the relevant engagement, ownership of the final deliverables created specifically for you transfers to you, except for: (a) our pre-existing tools, frameworks, and know-how; (b) third-party assets licensed for your use; and (c) working files, which remain ours unless otherwise agreed. We may display completed work in our portfolio and marketing unless you request otherwise in writing.

7. Confidentiality

Each party agrees to keep the other's non-public business information confidential and to use it only for the purpose of the engagement.

8. Third-party services

Our work often relies on third-party platforms (for example, Google, Meta, Shopify, WordPress). Your use of those platforms is subject to their own terms and policies. We are not responsible for changes, outages, or policy decisions made by those providers.

9. Limitation of liability

To the fullest extent permitted by law, Calyx Core is not liable for indirect, incidental, or consequential losses, including lost profits or revenue. Our total liability for any claim arising from an engagement is limited to the fees paid by you for that engagement in the three months preceding the claim.

10. Termination

Either party may terminate an engagement in accordance with the notice terms in the applicable proposal. On termination you remain responsible for fees for work completed and for committed third-party costs up to the termination date.

11. Website use

This site and its content are provided for general information. You may not copy, reproduce, or misuse site content without permission, attempt to disrupt the site, or use it for unlawful purposes.

12. Changes to these terms

We may update these terms from time to time. The current version is always available on this page, with the "last updated" date reflecting the most recent change. Continued use of the site after changes constitutes acceptance.

13. Governing law

These terms are governed by the laws of India, and any disputes are subject to the courts of Hyderabad, Telangana, unless otherwise required by applicable law.
